Terms of Use (End-User License Agreement)

These Terms of Use ("Terms") govern access to and use of Alma Intel’s integration, automation, and data-processing services, including internal tools and workflows used to connect third-party platforms such as QuickBooks Online and n8n (the "Service"). By accessing or using the Service, you agree to these Terms.

1. Provider

The Service is provided by Alma Intel ("Alma Intel", "we", "us", or "our"). For questions regarding these Terms, contact us at hello@almaintel.ai.

2. Scope of the Service

Alma Intel provides automation and integration services that may connect with third-party systems (for example, accounting, CRM, and workflow platforms) to process and transfer data according to client-approved workflows.

• The Service may be provided as an internal/private integration for a specific client.
• The Service may rely on third-party APIs, infrastructure, and platforms.
• Availability and functionality may vary depending on those third-party services.

3. Eligibility and Authority

You represent that you have the authority to authorize Alma Intel’s Service to connect to and interact with the relevant third-party accounts and data on behalf of your organization.

4. License and Permitted Use

Subject to these Terms, Alma Intel grants a limited, non-exclusive, non-transferable, revocable license to use the Service solely for lawful internal business purposes and in accordance with the agreed project scope.

You agree not to:

• Use the Service for unlawful, fraudulent, or unauthorized purposes.
• Attempt to reverse engineer, disrupt, or compromise the Service.
• Use the Service in a manner that violates third-party platform terms.
• Attempt to gain unauthorized access to data, systems, or credentials.

5. Third-Party Services

The Service may integrate with third-party platforms such as QuickBooks Online, n8n, cloud hosting providers, and other software tools. Your use of those platforms is governed by their own terms and privacy policies. Alma Intel is not responsible for outages, changes, or limitations caused by third-party providers.

6. Credentials and Security

You are responsible for maintaining the confidentiality of credentials and access permissions under your control. Alma Intel will use commercially reasonable measures to handle credentials and tokens used for authorized integrations.

7. Data Processing

Alma Intel may process data made available through connected systems solely for the purpose of operating, maintaining, and improving the agreed integration workflows, providing support, and meeting contractual obligations. Please review our Privacy Policy for more information on data handling.

8. Intellectual Property

Alma Intel retains all rights, title, and interest in and to the Service, including underlying software, workflows, templates, know-how, and documentation, except for client-owned data and materials.

9. Service Availability and Changes

We may modify, update, suspend, or discontinue parts of the Service from time to time, including for maintenance, security, legal compliance, or improvements. We will use reasonable efforts to minimize disruptions for active clients.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW. ALMA INTEL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALMA INTEL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALMA INTEL’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID TO ALMA INTEL FOR THE RELEVANT SERVICES DURING THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Alma Intel from claims, damages, liabilities, and expenses arising from: (a) your misuse of the Service, (b) your violation of these Terms, or (c) your violation of applicable law or third-party rights.

13. Termination

We may suspend or terminate access to the Service if required for security, legal compliance, non-payment (where applicable), or material breach of these Terms. Upon termination, your right to use the Service ends, subject to any transition or data-handling terms agreed separately in writing.

14. Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles, unless otherwise agreed in a separate written contract.

15. Changes to These Terms

We may update these Terms from time to time. Updates will be posted on this page with a revised "Last Updated" date. Continued use of the Service after an update constitutes acceptance of the revised Terms.
